Israeli law recognizes several types of nonprofit organizations, but they all share a common feature: they exist to serve a public purpose and may not distribute profits to their members. Every nonprofit must adopt bylaws that govern its operations. These bylaws function as a binding agreement between the organization and its members, and no individual holds proprietary ownership in the entity.
In addition to the three governing bodies required by law, a nonprofit organization may establish additional institutions as specified in its bylaws. The three mandatory bodies are:
The General Meeting — This is the highest governing authority within the association. The general meeting has the power to appoint an auditor, approve the organization’s financial statements and annual reports, and make decisions regarding changes to the bylaws, organizational objectives, or the association’s name.
The Board of Directors — The board is responsible for implementing the resolutions adopted by the general meeting, establishing organizational policies and procedures, and appointing, supervising, and — when necessary — dismissing the nonprofit’s director-general.
The Audit Committee — This body oversees the organization’s compliance and financial integrity. Its purpose is to verify that the nonprofit operates properly, identify deficiencies, and submit recommendations to both the general meeting and the board of directors.

When forming a nonprofit entity in Israel, founders must choose between establishing a nonprofit association (amuta) or a public benefit company. Each structure offers distinct advantages:
Flexibility of Purpose: A nonprofit association can define virtually any lawful, non-commercial objective in its bylaws. A public benefit company, by contrast, must align its objectives with specific legal categories, which can be more restrictive.
Regulatory Requirements: A nonprofit association registers only with the Registrar of Associations, resulting in a lighter compliance burden. A public benefit company must register with both the Registrar of Charitable Trusts and the Registrar of Associations, which increases its regulatory obligations.
Business Activities: If the nonprofit entity intends to conduct business activities as part of its mission, a public benefit company may be the better option. Its corporate structure more naturally accommodates commercial operations while maintaining the organization’s nonprofit status.
Legal Obligations of Nonprofit Organizations in Israel
Under the Israeli Nonprofit Organizations Law, every association must fulfill several key legal obligations:
Financial Record-Keeping: Every nonprofit organization must maintain complete and accurate accounting records that document its financial condition and transactions. All associations are required to prepare and submit an annual financial report, along with a narrative report detailing income and expenses.
Reporting to the Registrar: Nonprofit organizations must file various notices and documents with the Registrar of Associations as part of their ongoing operations. Required filings include notifications of board appointments, audit committee changes, meeting minutes, and other statutory documents.
Proper Management Certification: Obtaining a Proper Management Certificate (Nihul Takin) is an essential compliance milestone for any nonprofit. To receive this certification, the organization must demonstrate that it operates in accordance with the law and fulfills all of its legal obligations. This certificate is often a prerequisite for receiving government funding and tax-deductible public donations.
